1. Introduction & Binding Agreement
Welcome to Vyxbit ("we," "us," or "our"). These Terms & Conditions ("Terms," "Agreement," or "Contract") represent a legally binding marketing agreement governing the relationships, rights, and operational obligations between Vyxbit and any tree care operator, arborist company, or tree removal business owner ("Client," "you," or "your") purchasing our search engine optimization (SEO) solutions, local visibility services, or lead generation campaigns.
By executing an invoice, requesting a local visibility audit, integrating API profiles, or instructing us to initiate digital optimization programs, you confirm that you accept these terms in their entirety and agree to abide by them. These terms are optimized specifically for high-ticket Tree Removal Marketing and Tree Service SEO campaigns inside the United States.
2. Scope of Marketing Solutions
Vyxbit specializes in delivering highly targeted search optimization systems designed to convert organic searches into direct dispatcher calls. Our campaigns incorporate:
- Custom Local Lead Generation structures including targeted landing pages, mobile optimization, call tracking, and organic content production.
- Complete Google Business Profile (GBP) audit, citation cleanup, and map cluster expansion strategies to capture Google Maps 3-Pack traffic.
- Strategic video optimization (such as YouTube localized storm video branding setup) and voice search sync across major platforms (ChatGPT, Siri, Gemini, Alexa).
3. The 90-Day Lead Guarantee
We stand behind our local playbook. To establish corporate trust, we offer a performance-based guarantee under the following criteria:
- Plan Applicability: The 90-Day Guarantee applies exclusively to clients subscribed to our standard Growth or Pro marketing agreements. It does not apply to custom introductory setups or standalone audit packages.
- Minimum Commitment: To validate the guarantee, the client must commit to a minimum initial period of three (3) consecutive months. This gives search engines sufficient time to crawl, index, and boost localized profiles.
- Target Agreement: Specific inbound lead volumes or organic Maps position targets are calculated based on your historical market size and are mutually agreed upon in writing during onboarding.
- Performance Deficit Clause: If Vyxbit fails to meet the agreed-upon local rank or lead target by the close of business on Day 90, client billing pauses immediately. Vyxbit will continue to execute all SEO and maps optimization campaigns at zero cost to the client until the target is met.
4. Client Onboarding & Cooperation
Local SEO is a partnership. To successfully launch a campaign and maintain the integrity of the 90-day clock, the Client must coordinate and supply the following resources within seven (7) business days of execution:
- Account Access: Direct manager access to your Google Business Profile, Google Search Console, website CMS credentials (e.g., WordPress, Webflow), and domain host parameters.
- Review Collection: Client agrees to actively use our review-request templates to collect fresh ratings from actual customers.
- Operational Delays: If campaign deployment is delayed due to client review lag, missing credentials, password locks, or lack of response to content approvals, the 90-day guarantee timeline will be paused day-for-day.
5. Payment Terms & Month-to-Month Autonomy
We do not believe in locking arborists into long-term yearly contracts. Our services operate on clear month-to-month parameters:
- Billing Cycle: All retainer fees are billed in advance on a recurring monthly cycle starting on the date of execution. Payments are collected securely via credit card or bank transfer.
- Autonomy Post-90 Days: Once the initial 90-day performance validation period is concluded, services revert to a strict month-to-month basis.
- Cancellation Protocol: You may cancel services at any time. To prevent subsequent automated billing cycles, cancellations require a 14-day written notice sent to contact@vyxbit.com.
6. Intellectual Property & Asset Protection
We maintain a strict code of ethics: We do not hold assets hostage. Upon termination or cancellation of services, all rights are handled as follows:
- 100% Client Ownership: Client retains total ownership of their Google Business Profile, organic search engine listings, regional citation logins, domains, content pages, and leads.
- Asset Transfer: Vyxbit will securely transfer all administrator privileges or localized login parameters back to the client within seven (7) days of final payment confirmation.
7. Search Engine Disclaimers & Limits of Liability
While we guarantee our team's labor and execution quality, search engines operate on proprietary algorithms beyond external control:
- Algorithm Shifts: Vyxbit is not liable for fluctuations in ranking positions, lead quantities, or listing suspensions caused directly by core Google search engine updates, spam filter sweeps, or competitor activities.
- Liability Cap: To the maximum extent permitted by law, Vyxbit's total liability under this agreement is strictly limited to the total amount paid by the client in the three (3) months preceding any claim.
8. Governing Law & Jurisdiction
This marketing contract is governed by, construed, and enforced in accordance with the laws of the State of Texas, USA, without regard to conflict of laws principles. Any legal disputes or actions arising from this agreement shall be filed and resolved exclusively in the state or federal courts located in Travis County, Austin, Texas. Both parties consent to personal jurisdiction in these courts.
